This CREDIT AGREEMENT (this “Agreement”) is entered into as of December 10, 2024, among Abacus Life, Inc., a Delaware corporation (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, each a “Lender”), GLAS USA LLC as Administrative Agent (together with its permitted successors and assigns in such capacity, the “the Administrative Agent”) and as Collateral Agent (together with its permitted successors and assigns in such capacity, the “Collateral Agent”).

GUARANTY, dated as of December 10, 2024 (this “Guaranty”), among ABACUS LIFE, INC. a Delaware corporation (the “Borrower”), the other Persons listed on the signature pages hereof and each Additional Guarantor (as defined in Section 7(b)) that becomes a party hereto (such Persons so listed and the Additional Guarantors being, collectively, the “Guarantors” and, individually, each a “Guarantor”) and GLAS USA LLC, as Administrative Agent (in such capacity, together with its permitted successors and assigns, the “Administrative Agent”) under the Credit Agreement referred to below .
