This API and Platform License Agreement ("Agreement”) applies to your access to, and use of, the content, documentation, code, data and related materials made available by Direct Transfer, LLC. (“Direct Transfer”) to you (collectively, the “Content”), including through the use of the Direct Transfer application programming interface (the “API”, together with Content, “Direct Transfer Materials”). By using any Direct Transfer Materials, you agree to this Agreement.

THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (“Agreement”) of Golden Pacific Homes, LLC, a Delaware limited liability company (the “Company”), is made and entered into effective as of ___________, 2017 ("Effective Date"), by and among Golden Pacific Capital, LLC, a Delaware limited liability company (the “Manager”), and such Persons as may be admitted as Members pursuant to the terms of this Agreement. This Agreement amends and restates, and supersedes in its entirety, all prior Agreements of the Company including but not limited to that certain Operating Agreement dated August 29, 2016.

This engagement letter (the “Agreement”) confirms the terms upon which Golden Pacific Capital, LLC (“GPC”) and Golden Pacific Homes, LLC, (the “Fund”) and collectively with GPC, the “Client”) engages Boustead Securities, LLC (“BSL” or the “Placement Agent”). BSL is engaged to act as the exclusive Placement Agent to the Fund in connection with an Offering (as defined below) of securities on behalf of the Fund (the “Potential Transaction”).
