This SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of January 12, 2024, by and among Duckhorn Wine Company (the “Company”), The Duckhorn Portfolio, Inc. (“Parent,” together with the Company, the “Companies”) and Pete Przybylinski (the “Executive”), and is effective as of January 12, 2024 (the “Effective Date”). This Agreement amends and restates in its entirety the Amended and Restated Employment Agreement by and between the Companies and the Executive, dated as of March 8, 2021 (the “Prior Agreement”).

This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of January 12, 2024, by and among Duckhorn Wine Company (the “Company”), The Duckhorn Portfolio, Inc. (“Parent,” and together with the Company, the “Companies”) and Jennifer Fall Jung (the “Executive”), and is effective as of January 12, 2024 (the “Effective Date”). This Agreement amends and restates in its entirety the Employment Agreement, by and between the Companies and the Executive, dated as of May 23, 2023 (the “Prior Agreement”).
