This Fourth Amended and Restated Limited Partnership Agreement (this “Agreement”), dated as of April 19, 2024 of Blue Owl NLT Operating Partnership LP (formerly OakTrust Operating Partnership L.P.), a Delaware limited partnership (the “Partnership”), is entered into between Blue Owl Real Estate Net Lease Trust (formerly Oak Street Net Lease Trust), a Maryland statutory trust, as general partner (the “General Partner”) and as Limited Partner, each of Blue Owl Real Estate Net Lease Trust CPV LP (formerly Oak Trust Carry Participant Vehicle LP) , a Delaware limited partnership, and Blue Owl Oak Trust Carry LLC, a Delaware limited liability company (each, a “Special Limited Partner” and together, the “Special Limited Partners”), and the Limited Partners party hereto from time to time.

Blue Owl Real Estate Net Lease Trust, a Maryland statutory Trust (the “Trust”), that intends to satisfy the requirements of the Internal Revenue Code of 1986, as amended (the “Code”) for qualification and taxation of the Trust as a real estate investment trust (“REIT”), is conducting a private placement offering (the “Offering”) in accordance with Rule 506(b) of Regulation D under the Securities Act of 1933, as amended (the “Securities Act”), of Class S, Class N, Class D and/or Class I common shares of beneficial interest (the “Shares”). Blue Owl Securities LLC, as the managing dealer (the “Dealer Manager”), and the broker-dealers participating in the offering (the “Participating Broker-Dealers”) will solicit subscriptions pursuant to which investors will invest in Shares, from time to time.
