This Rights Offering Backstop Agreement (this “Agreement”) is dated as of November 13, 2023 and is by and among NANOPHASE TECHNOLOGIES CORPORATION, a Delaware corporation (the “Company”), BRADFORD T. WHITMORE, an individual (“Whitmore”), GRACE INVESTMENTS, LP, a Delaware limited partnership (“Grace”), and STRANDLER, LLC, a South Dakota limited liability company (“Strandler” and together with Whitmore and Grace, each a “Purchaser” and collectively, “Purchasers”).
