THIS AMENDMENT NO. 1 TO 10% UNSECURED CONVERTIBLE SUBORDINATED DEBENTURE (this “Amendment No. 1”), dated December 27, 2007, is by and among ProUroCare Medical Inc., a Nevada corporation (“Maker”) and the parties listed on Schedule 1 hereto (each a “Holder” and collectively, the “Holders”).
