THIS RESTRICTED STOCK AGREEMENT, dated as of this 28th day of February, 2005, between LandAmerica Financial Group, Inc., a Virginia corporation (“the Company”) and (the “Officer”), is made pursuant and subject to the provisions of the Company’s 2000 Stock Incentive Plan, as amended, and any future amendments thereto (the “Plan”). The Plan, as it may be amended from time to time, is incorporated herein by reference. All terms used herein that are defined in the Plan shall have the same meanings given them in the Plan.

You have been awarded a number of restricted shares of NCR common stock (the “Restricted Shares”) under the NCR Management Stock Plan (the “Plan”) of NCR Corporation (“NCR”) as listed on the Certificate of Restricted Stock Grant on the restricted stock website (“Certificate”), subject to the terms and conditions of this agreement and the Plan.
