The Amended and Restated Participation Agreement (the "Agreement"), dated August 1, 2000, by and among First Allmerica Financial Life Insurance Company, a Massachusetts life insurance company ("Insurer") (on behalf of itself and its "Separate Account," defined below); Allmerica Investments, Inc., a Massachusetts corporation ("Contracts Distributor"), the principal underwriter with respect to the Contracts referred to below; Alliance Capital Management L.P., a Delaware limited partnership ("Adviser"), the investment adviser of the Fund referred to below; and Alliance Fund Distributors, Inc., a Delaware corporation ("Distributor"), the Fund's principal underwriter (collectively, the "Parties"), is hereby amended as follows:

This Amendment to the Participation Agreement (“Agreement”) dated January 31, 1995 by and among the Alger Portfolios (formerly The Alger American Fund, (the “Fund”) a Massachusetts Business Trust; Fred Alger & Company, Incorporated, a Delaware corporation, the (“Distributor”); and National Life Insurance Company (the “Company”) is effective this 25th day of April, 2013 and is hereby amended . All capitalized terms used herein and not otherwise defined shall have the meaning ascribed to such term in the Agreement.

Pursuant to the Participation Agreement, made and entered into as of the 7th day of February 1997, and as amended on August 15, 1999, April 2, 2000, and May 1, 2008, by and among MFS® Variable Insurance Trust, Pruco Life Insurance Company of New Jersey, and Massachusetts Financial Services Company, the parties hereby agree to an amended Schedule A as attached hereto.
