THIS COLSTRIP UNITS 3&4 INTERESTS ABANDONMENT AND ACQUISITION AGREEMENT (this “Agreement”), dated as of July 30, 2024, is by and between NORTHWESTERN CORPORATION, a Delaware corporation (“NorthWestern”), and PUGET SOUND ENERGY, INC., a Washington public utility corporation (“PSE”). NorthWestern and PSE are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
