This Global Access Commitments Agreement (including all appendices, exhibits and attachments hereto, this “GACA”), is entered into as of date of last signature below (“Effective Date”) by and between the Bill and Melinda Gates Foundation, a Washington Charitable Trust (the “Foundation”) and Novavax, Inc., a Delaware corporation based in Maryland (“Novavax” or the “Company”) in connection with the Foundation making a charitable grant of up to eighty nine million, eighty three thousand three hundred twelve U.S. dollars ($89,083,312.00) to Company (the “Grant”) and is subject to the terms and conditions of the Grant Agreement and related documents, including but not limited to this GACA.
