The Distribution Agreement, made the 30th day of September, 1992 between The GCG Trust (the "Trust"), a Massachusetts business trust having its principal place of business at 280 Park Avenue, New York, New York 10017, and Directed Services, Inc. ("DSI" or the "Distributor"), a New York corporation having its principal place of business at 280 Park Avenue, New York, New York 10017 (the "Agreement"), is hereby amended by the addition of the provisions set forth in this Addendum to the Agreement, which is dated as of the 29th day of December, 1995.
