Reference is made to the Operating Agreement of BFI Transfer Systems of Pennsylvania, LLC, a Pennsylvania limited liability company (the “Company”), dated as of March 30, 2001 (the “Agreement”), by BFI Waste Systems of North America, Inc., a Delaware corporation (“Original Member”). On the date hereof, Original Member transferred its member interest in the Company to its parent corporation, Browning-Ferris Industries, LLC, a Delaware limited liability company (the “Substituted Member”).

This LIMITED LIABILITY COMPANY AGREEMENT of H Leasing Company, LLC is entered into and shall be effective as of April 30, 2001, by and among American Ref-Fuel Company of Hempstead, a New York general partnership (the “Ref-Fuel Company”) and Allied Waste North America, Inc., a Delaware company (“AWP”), each of which has executed this Agreement as a Member and as the Manager and the Special Purpose Manager, respectively, on the following terms and conditions:

Reference is made to the Limited Liability Company Agreement of S Leasing Company, LLC, a Delaware limited liability company, dated as of April 30, 2001 (the “Agreement”), by and among American Ref-Fuel Company of Southeastern Connecticut, a Connecticut general partnership (“Transferor Member”) and Allied Waste North America, Inc., a Delaware corporation (the “Manager”). On the date hereof, Transferor Member transferred its Interest (as defined in the Agreement) in S Leasing Company, LLC to BFI Energy Systems of Southeastern Connecticut. Inc., a Delaware corporation and to BFI Energy Systems of Southeastern Connecticut L.P., a Delaware limited partnership (each the “Transferee”). Terms not defined herein shall have the meaning given such terms in the Agreement.

On the date hereof, Original Member transferred its member interest in the Company to its parent corporation, Browning-Ferris Industries, Inc., a Delaware corporation (“Parent Company”). The Parent Company then transferred its member interest in the Company to its parent corporation, Allied Waste North America, Inc., a Delaware corporation (the “Substituted Member”).

On the date hereof, Original Member transferred its member interest in the Company to its parent corporation, Browning-Ferris Industries, Inc., a Delaware corporation (“Parent Company”). The Parent Company then transferred its member interest in the Company to its parent corporation, Allied Waste North America, Inc., a Delaware corporation (the “Substituted Member”).
