Agreement made as of 19th day of December, 2011 and amended and restated as of this 19th day of December, 2014, by and between The India Fund, Inc., a Maryland corporation (the ''Fund"), and Aberdeen Asset Management Inc., a Delaware corporation (the “Administrator'') (this "Agreement'').
