AND WHEREAS Sponsor has entered into, or will hereafter enter into, a contractual arrangement with Boston Beer Company (“BBC”) in which BBC has or will assign Sponsor agency status for select BBC products and brands in Canada (namely, Twisted Tea Hard Ice Tea (“Twisted Tea Products”) and Truly Hard Seltzer (“Truly Hard Seltzer Products”)), henceforth "The Prime Contract";
