EX-10.42 3 ex10_42.htm EXHIBIT 10.42 Exhibit 10.42 TERMINATION OF CONSULTING AGREEMENT AND GENERAL RELEASE This Termination of Consulting Agreement and General Release (“Agreement”) is being entered into on the date listed on the signature page hereof by and between Paul Mackenzie (“Mackenzie”) and Integral Technologies, Inc. (“Company”). As used herein, Mackenzie and Company are referred to jointly as “Parties” or individually as a “Party.” WHEREAS, Mackenzie has served as a consultant of the Company pursuant to the terms of that Consulting and Confidentiality Agreement (the “Consulting Agreement”) dated June 1, 2011; WHEREAS, the Parties desire to set forth their understandings and mutual agreements with respect to the mutual termination of the Consulting Agreement, Mackenzie’ benefits and obligations following the termination of the Consulting Agreement, and all other matters between them.
