WHEREAS, Gwinnett County, Georgia and Advanced Disposal Services Atlanta, LLC entered into that certain Agreement for Residential Solid Waste Collection and Disposal and Collection of Residential Single-Stream Recovered Materials, effective as of the 23rd day of March, 2010, attached hereto as Exhibit “A” (the “Agreement”); and
