This is an agreement between OXY VINYLS, L.P., a Delaware limited partnership (the "Seller") and ENRON POWER MARKETING, INC. (the "Buyer") dated effective the completed execution hereof by both parties, December May __, 19992001, for the sale of electrical capacity and energy (the "Agreement"). Seller and Buyer are hereinafter sometimes referred to individually as "Party" and collectively as "Parties."
