Complications can sometimes arise where a party to a contract signs on behalf of a company which is not in existence at the time of the contract. The standard Auckland District Law Society (ADLS) form of Agreement for Sale and Purchase of Real Estate provides that where a person executes the agreement on behalf of a company to be formed, the person executing the agreement shall at all times remain personally liable for all obligations on the part of the purchaser. The recent High Court case of Brown v Kang considered whether a person purporting to execute a contract on behalf of a company not yet incorporated can be made liable where the company subsequently incorporates but fails to honour the agreement.
