THIS COMMON STOCK PURCHASE AGREEMENT, (the “AGREEMENT”) made dated May 15, 2015 by and between, Portage Resources, Inc. a publicly traded company trading on the OTC Markets with the symbol of POTG hereinafter known as the "Buyer", and FG Fitness & Media Group, Inc., a publicly traded company trading on the OTC Markets under the symbol FGFT & its Chairman Anthony K. Miller hereinafter known as the "Seller". Collectively, the Buyer and Seller shall be known as the “Parties”.
