WHOLESALE WATER ("Agreement") is made and entered into as of this 31st day of December, 2012 ("Effective Date"), by and between the City of Tacoma, Department of Public Utilities, Water Division ("Tacoma"), and Cascade Water Alliance, a joint municipal utilities services authority ("Cascade"). Tacoma and Cascade are sometimes referred to collectively as the "Parties" and individually as a "Party." This Agreement is made with reference to the following facts:
