This Agreement (“Agreement”), with an effective date of , 2023 (“Effective Date”), is between National Railroad Passenger Corporation, a corporation organized under 49 U.S.C. §24101 et seq. and the laws of the District of Columbia, having its principal place of business at 1 Massachusetts Avenue N.W., Washington, DC 20001 (“Amtrak”) and the Northern Virginia Transportation Commission and Potomac and Rappahannock Transportation Commission, bodies politic and corporate and political subdivisions of the Commonwealth of Virginia, established under the provisions of the Transportation District Act of 1964, as amended, and having principal places of business at 2300 Wilson Blvd Suite 230 , Arlington, VA 22201, and 14700 Potomac Mills Road, Woodbridge, VA 22192, respectively (hereinafter referred to as the “Commissions”).
