THIS AGREEMENT OF COMMON TERMS AND DEFINITIONS (as the same is amended, modified or supplemented in accordance with the terms of this agreement, this “Agreement”), is made and entered into as of the Closing Date, by and among: (i) the Federal Deposit Insurance Corporation in its capacity as the Receiver, as the “Transferor” as defined herein (in such capacity, the “Transferor”); (ii) the Federal Deposit Insurance Corporation in its capacity as the Receiver, as the “Initial Member” as defined herein (in such capacity, the “Initial Member”);
