THIS AGREEMENT OF SALE AND PURCHASE OF TAX CLAIMS (the “Agreement”), dated as of the 1st day of January, 2022, by and between the CHESTER UPLAND SCHOOL DISTRICT, a Pennsylvania Second Class School District organized and existing under the laws of the Commonwealth of Pennsylvania (the “District”), and PUBLIC ASSET MANAGEMENT INC. a Pennsylvania non-profit corporation organized under the laws of the Commonwealth of Pennsylvania (“PAM”).
