THIS AGREEMENT is made and entered into this _____ day of ________, 2007 between “the parties”, FLORIDA LANDMARK COMMUNITIES, INC. ("FLCI"), a Florida for profit corporation, with offices at 1 Corporate Drive, Suite 3A, Palm Coast, Florida 32137 and the CITY OF PALM COAST (“CITY”), a municipal corporation organized and existing under the laws of the State of Florida, with offices at 2 Commerce Boulevard, Palm Coast, Florida 32164. This Agreement is joined in by the TOWN CENTER AT PALM COAST COMMUNITY DEVELOPMENT DISTRICT ("CDD"), a local unit of special purpose government created under the provisions of Chapter 190, Florida Statutes, for purposes of consenting to, and binding itself to, the terms hereof.
