THIS SECOND AMENDMENT TO AGREEMENT, SETTLEMENT AND RELEASE (this “Amendment”) is made and entered into as of May 15, 2006, by and between Immediatek, Inc., a Nevada corporation (the “Company”), and Jess Morgan & Company, a California corporation (“Stockholder”).
