THIS AGREEMENT TO AMEND COMMON STOCK WARRANTS (this “Agreement”) is made as of July 27, 2017 by and among Oragenics, Inc. (the “Company”), and MSD Credit Opportunity Master Fund, L.P., Harvest Intrexon Enterprise Fund I, L.P., and Harvest Intrexon Enterprise Fund I (AI), L.P. (each a “Holder” and collectively the “Holders”).
