This Agreement To Make Payments in Lieu of Ad Valorem Taxes (this “Agreement”) is made and entered into effective as of the day of , 2022, by and among Madison County, Mississippi (the “County”), acting by and through its Board of Supervisors (the “County”, and together with each Joinder Governmental Authority, the “Governmental Authorities” and each a “Governmental Authority”), the County Tax Assessor (the “Tax Assessor”), the County Tax Collector (the “Tax Collector”), the Mississippi Development Authority (the “MDA”) (solely with respect to Section 2.3 hereof) and Nissan North America, Inc., a Delaware corporation, together with all successors and assigns thereof (the “Company”).
