THIS AGREEMENT (“Agreement”) is made and entered into this 1st day of January, 2014 (the “Effective Date”) by and between City of Overland Park, Kansas, a Kansas Municipal Corporation, with principal offices located at 12401 Hemlock Street, Overland Park, KS 66213 (“City”) and Advanced Data Processing, Inc., a subsidiary of Intermedix Corporation, a Delaware Corporation with principal offices located at 6451 North Federal Highway, Suite 1000, Fort Lauderdale, Florida 33308 (“Intermedix”).
