This Amended and Restated Reinsurance Agreement (this “Agreement”) dated as of the 1st day of January, 2002, between MBIA Assurance S.A., a corporation existing under the laws of the Republic of France (hereinafter referred to as the “Ceding Company”) and MBIA Insurance Corporation, a New York stock insurance company (hereinafter referred to as the “Reinsurer”).
