Reference is made to (i) the Common Terms Agreement, dated as of July 20, 2016, as amended by that certain Consent, Waiver and Amendment No. 1 to the Common Terms Agreement and the Senior Dual Currency Loan Agreement, dated as of May 24, 2017, (the “Amendment”), among SOCIEDAD CONCESIONARIA NUEVO PUDAHUEL S.A., a sociedad anónima duly incorporated and validly existing under the laws of Chile (“you” or the “Borrower”), CRÉDIT AGRICOLE CORPORATE AND INVESTMENT BANK, as USD Facility Agent on behalf of the Senior USD Lenders and as Global Administrative Agent on behalf of the Senior Lenders, the Senior Lenders party thereto, and each other Person that becomes party thereto from time to time (the “Common Terms Agreement”). Capitalized terms used but not defined in this Fee Letter have the meanings assigned thereto in the Amendment or the Common Terms Agreement, as applicable.
