(“CADIZ”) and THREE VALLEYS MUNICIPAL WATER DISTRICT (“TVMWD”), each a “Party” and collectively the “Parties.” RECITALS A. CADIZ owns and controls approximately 35,000 acres of land located in the Cadiz and Fenner valleys of San Bernardino County (the “Cadiz Property”). B.
