This AMENDED AND RESTATED FEE WAIVER AND EXPENSE LIMITATION AGREEMENT (the “Agreement”), effective October 31, 2014, by and between Henderson Global Investors (North America) Inc., a Delaware corporation (the “Adviser”) and Henderson Global Funds, a Delaware statutory trust (the “Trust”), on behalf of the Henderson All Asset Fund, a series of the Trust (the “Fund”), hereby amends and restates the Fee Waiver and Expense Limitation Agreement by and between the Adviser and the Trust, on behalf of the Fund, effective March 30, 2012.
