THIS GAS GATHERING AND PROCESSING AGREEMENT (this "Agreement") is made and entered into as of the Effective Date by and among COWTOWN PIPELINE PARTNERS L.P., a Texas limited partnership ("Gatherer"), COWTOWN GAS PROCESSING PARTNERS LP., a Texas limited partnership, ("Processor"), and BlueStone Natural Resources II, LLC, a Delaware limited liability company, ("Producer").
