This Amendment and Restatement of Employment Agreement (hereinafter referred to as "Amendment") is entered into as of September 14, 2014 (the “Effective Date”), by and between Miller Energy Resources, Inc., a corporation organized and existing under the laws of the State of Tennessee, and all of its subsidiaries, with its principal place of business at 9721 Cogdill Road, Suite 302, Knoxville, Tennessee 37932 (hereinafter referred to collectively as the "Company"), and Scott M.
