This APEX Reseller Agreement (the “Agreement”) applies to the Dell Technologies “APEX” branded service (“APEX Service”) ordered on the Dell Technologies APEX Console (“APEX Console”) by you on behalf of your company, (“Purchaser”, “You”) from the Dell Technologies entity which invoices Purchaser for the APEX Service (“Dell”). By clicking “I agree” or otherwise accepting the Agreement in the APEX Console: Purchaser agrees to be legally bound by the Agreement; and you represent to Dell that you are authorized to agree to the Agreement on behalf of Purchaser. The “Effective Date” of the Agreement is the earlier of the date Purchaser accepted the Agreement or the date Customer first used the APEX Service.

This Dell APEX Reseller Agreement (the “Agreement”) applies to the Dell Technologies “APEX” branded service (“APEX Service”) and any other related Dell Technologies services identified on a Quote (“Related Service(s)”) ordered by you, on behalf of your company, (“Reseller”) from the Dell Technologies entity which invoices Reseller for the APEX Service (“Dell”). By agreeing to Dell’s Quote (through physical signature, electronic signature or clicking to accept): (a) Reseller agrees to be legally bound by the Agreement; and (b) you represent to Dell that you are authorized to agree to the Agreement on behalf of Reseller. The “Effective Date” of the Agreement is the earlier of the date Reseller agreed to the Quote referencing this Agreement or the date Customer first used the APEX Service and/or the Related Service.
