These API Terms of Use (the “API Terms”), dated as of January 1, 2017 (the “Effective Date”), are made and entered into by and between NovoMedici, LLC., a Utah corporation and its affiliates (“NovoClinical” or “we”), and you (“Developer” or “you”). NovoClinical and Developer are sometimes referred to in the API Terms individually as a “Party” and collectively as the “Parties”. NovoClinical and Developer hereby agree as follows:

This is a legal agreement ("agreement") between "you" (a "developer" or “user”) and amrita ventures, llc ("company"). By using the system and/or accepting this agreement, you are consenting to be bound by its terms. Whereas, company is willing to supply the system (as defined below) to you; whereas, you desire to have access to the system, and are aware of the purpose of the system; now therefore, in consideration of the foregoing and the mutual covenants hereinafter set forth, the parties hereby agree:

These API Toolkit Terms of Use (the “API Terms”) form part of the written or electronic agreement into which these API Terms are expressly incorporated by reference (the “Agreement”) by and between Trimble Transportation Enterprise Solutions, Inc. or one of its corporate affiliates as specified in the Agreement (“Trimble”), and the other party to the Agreement (“Company”) (each, a “Party,” and together, the “Parties”) and adds terms to the Agreement regarding Company’s use of Trimble’s application programming interface (API) tools to allow certain of Company’s products or services to connect with Trimble’s products, solutions and/or systems. In the event of a conflict between a term or provision of these API Terms and a corresponding term or provision of the Agreement, these API Terms control with respect to the license granted hereunder and Company’s use of the API Toolkit. These API Terms will have no independent force or effect except as incorporated by reference into an Agreement.
