This ASSET TRANSFER AND ACQUISITION AGREEMENT (this “Agreement”) dated as of the 1st day of March, 2006 (“Execution Date”) is made and entered into by and between ARK ENERGY, INC., a Nevada corporation (“Transferor”) and BLUEFIRE ETHANOL, INC., a Nevada Corporation (“Transferee”), (Transferee and Transferor being sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties”).
