WHEREAS, Assignor and the District previously entered into that certain “Facilities Agreement” dated November 13, 2014, and amended on November 19, 2017 (the “Agreement”); and

WHEREAS, Assignor and Assignee entered into that certain Purchase and Sale Agreement dated as of July 26, 2018 (as may be amended, the “Purchase Agreement”), pursuant to which Assignor has agreed to sell to Assignee, and Assignee has agreed to acquire from Assignor, certain Property (as defined in the Purchase Agreement); and
