This Assignment And License Agreement Between Hansen and SPE (“Agreement”) is dated and made effective as of February 3, 2011 (the “Effective Date”) by and between ECL7, LLC, a Delaware limited liability corporation, (“SPE”) and Hansen Medical, Inc., a Delaware corporation (“Hansen”).
