ASSUMPTION AGREEMENT AGREEMENT made as of November 1, 2017 between GOLDMAN SACHS ASSET MANAGEMENT INTERNATIONAL (“GSAMI”) and GOLDMAN SACHS ASSET MANAGEMENT, L.P. (“GSAM”), each a wholly-owned subsidiary of THE GOLDMAN SACHS GROUP, INC. WHEREAS, Goldman Sachs Variable Insurance Trust (the “Trust”) is registered as an open-end management investment company under the Investment Company Act of 1940, as amended (the “1940 Act”); WHEREAS, GSAMI has been previously appointed as investment adviser to the Goldman Sachs Strategic International Equity Fund (the “Fund”), a series of the Trust, pursuant to a Management Agreement dated October 21, 1997 (the “Management Agreement”); and WHEREAS, GSAMI and GSAM intend that GSAM act as investment adviser with respect to the Fund pursuant to the Management Agreement.
