THIS ASSUMPTION, CONTRIBUTION AND INDEMNIFICATION AGREEMENT (this “Agreement”) is made and entered into by and between Energy Transfer Partners, L.P., a Delaware limited partnership (“Energy Transfer”), and Regency Energy Partners LP, a Delaware limited partnership (“Regency”).
