This Agreement is entered into this day of (the “Effective Date”) by and between AVEVA Software, LLC (“AVEVA”) and the individual or entity that executes this Agreement (the “Customer”) (collectively, the “Parties” and each, a “Party”). The Parties are entering into this Agreement for the purpose of enabling the Customer and its Affiliates to purchase Products, Support Services and Professional Services from AVEVA and its Affiliates, and to set out the general terms and conditions that apply to such purchases. Unless otherwise provided, all capitalised terms used in this Agreement have the meaning set forth in the Definitions Appendix of this Agreement.
