This BENEFITS CONTINUATION AGREEMENT (this “Agreement”) is made and entered into to be effective as of November 2, 2010 (the “Effective Date”) by and among Cooper Industries plc, an Irish corporation (“Cooper” or the “Company”), Cooper U.S., Inc. and Kirk S.
