In consideration of my assignment to CLIENT by DILIGENT HEALTHCARE STAFFING, I agree that I am solely a Assigned Personnel of DILIGENT HEALTHCARE STAFFING for benefits plan purposes and that I am eligible only for such benefits as DILIGENT HEALTHCARE STAFFING may offer to me as its Assigned Personnel. I further understand and agree that I am not eligible for or entitled to participate in or make any claim upon any benefit plan, policy, or practice offered by CLIENT, its parents, affiliates, subsidiaries, or successors to any of their direct employees, regardless of the length of my assignment to CLIENT by DILIGENT HEALTHCARE STAFFING and regardless of whether I am held to be a common-law employee of CLIENT for any purpose; and therefore, with full knowledge and understanding, I hereby expressly waive any claim or right that I may have, now or in the future, to such benefits and agree not to make any claim for such benefits.

In consideration of my assignment to CLIENT by Upland Healthcare Staffing Agency, I agree that I am solely an employee of Upland Healthcare Staffing Agency for benefits plan purposes and that I am eligible only for such benefits as Upland Healthcare Staffing Agency may offer to me as its employee. I further understand and agree that I am not eligible for or entitled to participate in or make any claim upon any benefit plan, policy, or practice offered by CLIENT, its parents, affiliates, subsidiaries, or successors to any of their direct employees, regardless of the length of my assignment to CLIENT by Upland Staffing Agency and regardless of whether I am held to be a common-law employee of CLIENT for any purpose; and therefore, with full knowledge and understanding, I hereby expressly waive any claim or right that I may have, now or in the future, to such benefits and agree not to make any claim for such benefits.

THIS BENEFITS WAIVER is made and entered into as of this 9th day of November, 2006, by and between Dr. Nancy T. Chang (“Dr. Chang”) and Tanox, Inc., a Delaware Corporation (the “Company”), in connection with, and subject to the consummation of the merger of Green Acquisition Corporation, a Delaware corporation (“Merger Sub”) with and into the Company (the “Merger”) contemplated by the Agreement and Plan of Merger and Reorganization (the “Merger Agreement”) to be entered into by and among Genentech, Inc. a Delaware corporation (“Parent”), Company, and Merger Sub. Capitalized terms will have the meaning given to them in the Employment Agreement entered into by and between Dr. Chang and the Company effective as of September 12, 2006 (the “Employment Agreement”).
