This Confirmation evidences a complete and binding agreement between Party A and Party B as to the terms of this Transaction to which this Confirmation relates. This Confirmation supplements, forms part of, and is subject to, the ISDA Master Agreement dated as of August 28, 2006, as amended and supplemented from time to time (the “Agreement”), including the Amended and Restated Schedule thereto dated as of the date hereof, between Party A and Party B (which Agreement amends and restates the ISDA Master Agreement and Schedule thereto between Party A and Party B dated as of August 28, 2006 and the master Confirmation dated June 6, 2006 (together, the “Original Agreement”)). All provisions contained in the Agreement govern this Confirmation except as expressly modified below.
