Biller will provide to Invoice Cloud all Biller Data generated for Biller’s Customers. Unless otherwise expressly agreed to in writing by Invoice Cloud to the contrary, Invoice Cloud will process all of Biller’s Customers’ Payment Instrument Transactions requirements related to the Biller Data and will do so via electronic data transmission according to our formats and procedures for each electronic payment type selected in the Biller Order Form. In addition, Biller will execute all third-party applications and enter into all agreements required for the Service without unreasonable delay, including without limitation Payment Processing Agreements and merchant agreements that may be required upon implementation, or later at such time as the Service operates with different or multiple payment processors. Throughout the Term of this Agreement, for “Invoice Types” listed on the Biller Order Form (e.g., real estate taxes, utility bills, parking tickets, insurance premium, loans, etc.), Bill

THIS FIRST AMENDMENT TO BILLER AGREEMENT, which was incorporated by reference into certain Biller Order Forms between the parties hereto, dated (“Biller Agreement”), is made and entered into this day of February 2020, by and between Invoice Cloud, Inc., a Delaware Corporation, (hereinafter “INVOICE CLOUD”), and the City of Bend, Oregon, a municipal corporation organized under the laws of the State of Oregon (hereinafter “CITY”). CITY and INVOICE CLOUD shall hereinafter collectively be referred to as “the PARTIES”.
