This Nondisclosure Agreement (the "Agreement") is entered into by and between the Higher Education Systems and Services Consortium (HESS), Campus Management, Inc., Ellucian Company, L.P., Jenzabar Inc., Oracle Corporation, Unit4, and Workday Inc. ("Individual and Independent Disclosing Parties") and ___________________, located at _______________ ("Receiving Party") for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to the disclosure of proprietary and confidential software product and consortium pricing information ("Confidential Information"). Any legal action regarding the violation of this agreement shall be done within the state of the HESS member institution in question.
