WHEREAS, SCIOS NOVA is seeking to start Phase III clinical trials and obtain regulatory approval of its NATRECOR® brand brain natriuretic peptide (“BNP”) for the treatment of acute congestive heart failure and is seeking a long-term source of supply of BNP made by recombinant manufacture; and
