THIS SECOND AMENDMENT, effective January 26, 2004, between COLUMBIA BANCORP, a Maryland corporation (“Columbia Bancorp”), THE COLUMBIA BANK, a Maryland trust company and the principal subsidiary of Columbia Bancorp (“Columbia Bank”), and WINFIELD M. KELLY, JR.
