This agreement is made between Shipper and Crowley Logistics, Inc., a Delaware-based company acting as a broker. The parties agree that the broker will provide transportation services to the shipper in accordance with applicable laws and regulations, for which the broker will be compensated. Payments from the shipper to the broker are due within agreed-upon terms starting from the freight invoice date. Freight invoices must include a receipt specified in this agreement, but the shipper can pay without submitting the receipt if they so choose. Any discrepancies with freight bills must be reported and resolved by both parties within 180 days of the original bill. If the shipper receives an undercharge claim from a carrier for shipments arranged by the broker, the shipper must immediately forward this to the broker, who will handle it.
